Internal Counsel - Vice President

Job Description:This management position is directly responsible for the company’s Low-Income Housing Tax Credit (“LIHTC”) portfolio activities in order to mitigate risk and maximize return. This position will be responsible for interacting on a daily basis with Project Managers, Originators, Developers, Developer’s Counsel, WNC’s outside counsel and investors and their respective counsel. In addition, this position will interact daily with senior management and be a member of WNC’s placement and screening committees. The primary responsibility is to structure and negotiate the lower- and upper-tier partnership agreements for the LIHTC transactions. This position requires significant Low Income Housing Tax Credit experience and a thorough understanding of multifamily real estate. Other significant responsibilities include working with Originators to structure letters of intent on LIHTC transactions to ensure quality control, structuring lower-tier LPA’s to ensure the tax benefits are delivered to the Investors, review of title insurance/survey documents, review of lower-tier loan documents prior to conversion and assisting asset management or the Special Assets Group with workout transactions. The position requires that the candidate be able to foster and maintain relationships with local general partners and the investors that will acquire these LIHTC transactions, whether in a multi investor fund or a proprietary fund. Duties include, but are not limited to, establishing relationships with local general partners, reviewing pro forma analysis on LIHTC transactions, working closely with Underwriters during the underwriting process, reviewing preliminary transaction summaries for presentation to investors, and responding to investor or counsel questions in a timely manner.

The successful candidate will have five years experience in real estate and at least five years in LIHTC - affordable housing. The ideal candidate must have excellent written and verbal skills and a strong ability to work with numbers. In addition they must possess the ability to work independently, as well as the capability to work within a team environment. Proficiency in MS Office is required. Lastly, this position requires strong interpersonal and organizational skills, and the ability to work in a fast-paced environment with multiple priorities.
